Terms of Service

Simpli Hub Pro is in early access and has not opened to the public. These Terms apply to this website and to early-access use. If a point here changes before sign-up opens, we will update this page and the date above.

These Terms of Service ("Terms") are an agreement between you and Simpli Software LLC ("Simpli Software", "we", "us") for your use of Simpli Hub Pro, including the web app, the hosted pages and forms it provides, and this website (the "Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the business you represent ("you").

1. The Service

Hub Pro is subscription software for the front office of a service business: a shared inbox for leads, contacts and records, pipelines and tasks, forms, hosted pages and booking, automations and reminders, email and text messaging, reviews, reporting, optional payments and e-signature, and optional connections to other Simpli products and to services you choose. We may add, change or remove features over time. If we remove a feature you pay for, we will give you reasonable notice.

You own the data you put into the Service. You give us permission to host, process and transmit it only as needed to provide the Service, as described in our Privacy Policy. You are responsible for its accuracy and for having the right to enter it, including information about your own customers and leads.

You can export your data yourself from the Service at any time, and ask us for a copy for 30 days after your account closes, by emailing hello@simplihubpro.com.

5. Texts, calls and email to your customers

Hub Pro can send texts and email, and place or record calls, to your customers and leads on your behalf. You decide who receives them. You are responsible for having the consent the law requires before you message anyone, including under the Telephone Consumer Protection Act and the CAN-SPAM Act, for honoring requests to stop, and for any call-recording notices that apply where you operate. Hub Pro records consent, honors STOP and HELP, and applies the quiet hours you set, but it does not make those decisions for you.

US carriers require businesses to register before they text. Hub Pro helps you file that registration, but carriers decide whether to approve it, how long it takes, and what they charge. Registration fees and message charges set by carriers or our providers may be passed on to you at cost.

Text message terms for people who receive texts. If a business sends you texts through Hub Pro, the business is the sender and you agreed to receive them from that business. Message frequency varies. Message and data rates may apply. Reply STOP at any time to stop, or HELP for help. Consent is not a condition of any purchase. See our Privacy Policy for how mobile information is handled.

6. Payments you collect

If you take payments from your customers through Hub Pro, they are processed by Stripe and paid to your own Stripe account. You are the seller. You are responsible for your prices, refunds, chargebacks, taxes and your agreement with Stripe. We do not hold your customers' funds.

7. Your professional and regulatory responsibilities

Hub Pro is a business tool. It is not legal, financial, medical or compliance advice, and it does not make your business compliant with any law or professional rule. Starting wording, templates and automations (including those for law, mortgage and insurance) are examples to review and adapt for your own state and rules. Hub Pro includes privacy safeguards, but we do not promise HIPAA or any other certification unless we say so in writing.

8. Bring-your-own AI

AI helpers are optional and off until you connect your own AI account. If you do, the content you choose to send to it is handled by that provider under your agreement with them, not by us. Check AI output before you rely on it or send it to a customer.

9. Third-party services

Some features rely on services from other companies, such as Stripe, Twilio, Amazon Web Services, Google and Meta (if you connect ad accounts), and other Simpli products. When you connect one of these, your use of it is also governed by that provider's terms. We are not responsible for their services or availability. You can disconnect them at any time.

We work to keep the Service available and backed up, but we do not promise it will be uninterrupted or error-free. We may carry out maintenance, ideally outside business hours. Support is available by email.

12. Disclaimer of warranties

Except as stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.

13. Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim.

14. Suspension and termination

You can stop using the Service and cancel at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, if you do not pay, or if we must do so by law. Where we reasonably can, we will warn you first and give you a chance to fix the problem. After your account closes, we delete your data as described in our Privacy Policy.

15. Changes to these Terms

We may update these Terms. For a material change, we will update the date above and tell account owners by email or in the app at least 30 days before it takes effect. If you keep using the Service after that, the new Terms apply.

16. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction.
